Maintenance Backlog and Asset Reliability: The Capex Risk Hidden in Plain Sight

Maintenance underspend can temporarily flatter earnings while transferring repair costs, downtime and safety risk to the buyer. This guide explains how to identify a genuine backlog, distinguish catch-up capex from recurring expense and incorporate asset reliability into value and deal terms.

Maintenance backlog due diligence tests whether recent earnings were supported by responsible asset care or partly created by postponing work. Deferred interventions can reappear after closing as breakdowns, lost output, safety exposure, emergency procurement and catch-up capex. The investor's task is to identify the backlog, determine which work is genuinely required, estimate timing and downtime, and avoid double counting its impact in earnings and cash flow.

Backlog is not the same as every open work order

A maintenance backlog is work identified but not yet completed. Some backlog is normal: jobs wait for planned shutdowns, parts or prioritisation. The concern is overdue work that increases the probability or consequence of failure, breaches an inspection requirement, or prevents equipment from performing its intended duty.

Distinguish four populations:

  1. routine work scheduled within policy;
  2. overdue preventive or inspection tasks;
  3. known defects under temporary repair or continued-operation approval;
  4. latent deterioration not yet captured in the maintenance system.

The fourth category is why a work-order download is insufficient. Poor detection, weak planning or a culture of non-reporting can make a short backlog look reassuring.

Follow the evidence from policy to physical condition

Start with the asset hierarchy, criticality assessment and maintenance strategy. Confirm whether safety-, quality- and production-critical equipment has defined inspection, preventive and predictive tasks. Then compare policy with execution using:

  • preventive-maintenance compliance and overdue age;
  • corrective work orders by priority, asset and failure mode;
  • emergency work, repeat failures and mean time to repair;
  • planned versus unplanned downtime;
  • condition-monitoring trends and alarm overrides;
  • shutdown scope changes and jobs repeatedly deferred;
  • critical-spares availability, repairable inventory and cannibalisation;
  • statutory inspections, certificates and defect closure.

Interview planners, technicians and operators separately. Operators often know which machine needs a special start-up routine; technicians know where temporary repairs persist; planners know which jobs were removed from shutdown scope. Validate the accounts with a targeted walk-down and specialist tests where risk warrants them.

Look for symptoms of hidden reliability debt

Common indicators include leakage, temporary hoses or wiring, bypassed interlocks, abnormal noise, corrosion, heat damage, missing guards, repeat seal failures and machines running only with manual intervention. In records, look for generic closure codes, excessive emergency purchases, low planned-work ratios, long waiting-for-parts queues and preventive tasks closed without labour or materials.

A fall in maintenance spending is not automatically an efficiency. Reconcile it with production hours, asset age, completed scope, contractor use, spares consumption and capitalised repairs. Costs may have shifted to capex, inventory, another group entity or a future shutdown.

Assess reliability at system level

An asset's criticality depends on consequence and redundancy. A low-cost pump without an installed spare may stop a line; an expensive machine with genuine parallel capacity may be less urgent. Test whether standby equipment is operable, connected and capable at the required load. Confirm that utilities, control systems, inspection equipment and material handling are included.

For process plants, mechanical integrity deserves particular attention: pressure equipment, piping, relief systems, emergency shutdowns, instrumentation and containment can create safety and environmental consequences as well as downtime. The applicable legal and engineering requirements depend on industry and location, so competent specialists should determine scope and fitness for service.

Convert the backlog into cash and earnings

Build an itemised remediation register rather than applying a broad percentage to asset value. For each material item record:

Separate catch-up work, which restores the asset to the condition assumed in the price, from normal recurring maintenance, which belongs in sustainable earnings, and growth investment, which adds capability. A major overhaul may contain all three elements. Accounting classification does not decide the economic treatment; the model should show what cash is necessary and what benefit it produces.

Normalise maintenance expense if historical spending is below the level required to sustain operations. Add catch-up cash by period, but check whether the lower historical expense already inflated EBITDA. Similarly, do not deduct both full replacement capex and the same lost-output scenario unless both would occur.

Test management's reliability improvement claims

When the forecast assumes fewer breakdowns, identify the enabling actions: revised maintenance strategy, spares, sensors, training, vendor support or replacement equipment. Verify implementation dates and evidence of sustained improvement. A short period without failure may not be statistically meaningful, especially for low-frequency, high-consequence equipment.

Use scenarios where condition or failure probability is uncertain. The base case can reflect planned remediation; the downside can model earlier failure, longer lead times or a missed shutdown. This is more defensible than pretending to know one exact replacement date.

Use findings in the deal and first 100 days

Material backlog may change valuation, capex funding, conditions precedent, warranties, indemnities or escrow, subject to legal and tax advice. It can also influence business-interruption insurance and lender covenants. The deal team should distinguish seller-controlled pre-close actions from work that is safer to execute under the buyer's ownership.

Day-one priorities are usually critical defect controls, overdue statutory actions, spares and vendor access. Subsequent work should establish asset criticality, clean the maintenance master, lock shutdown scope and create governance for cost, risk and performance.
