Licences, Land and Environmental Consents: Manufacturing Compliance Checks Before Closing
A factory may be profitable yet unable to transfer, expand or lawfully operate as the buyer expects. This pre-closing framework tests entity, site, land-use, licence and environmental-consent evidence, then converts gaps into conditions, liabilities, capex and integration actions.
Manufacturing compliance due diligence should confirm that the correct legal entity has the rights and permissions to occupy the site, operate each process at the required capacity and continue after the proposed transaction. A licence register is only the beginning. Investors must test land records, conditions, actual operations, renewal history, expansion approvals and transfer or change-of-control requirements, then connect gaps to liabilities, capex, output and closing terms.
Build one site-permission matrix
For every factory, warehouse, utility area, effluent plant, worker facility and off-site storage location, record the owner, occupier, operating entity, survey or parcel details and activity. Then map each permission to the entity, site, process, product, fuel, capacity and validity period it covers.
The matrix may include, depending on sector and location:
- factory approval, registration or licence under applicable occupational-safety rules;
- building plan, occupancy, fire and local approvals;
- environmental clearance where the project category requires it;
- consent to establish and consent to operate under pollution-control law;

Collect title deeds or allotment documents, leases, conveyances, records of rights, cadastral maps, mutation and tax records, encumbrance evidence, acquisition history and litigation searches. Reconcile parcel boundaries with the physical fence, access road, utilities, buildings and expansion land.
Digital land records are an important source, but Indian land administration is state-based and record names and legal effect vary. A portal extract alone is not a legal title opinion. Reconcile approved and actual site configuration
Compare sanctioned plans with as-built structures and current use. Identify unapproved extensions, mezzanines, storage sheds, worker accommodation, hazardous stores and changes in occupancy or fire load. Confirm setbacks, access, drainage and emergency routes with competent professionals.
A boundary or building deviation can affect mortgageability, insurance, expansion and safe operation. Quantify the likely regularisation path, cost, time and outcome uncertainty; do not assume every deviation can be cured.
Examine environmental approvals as an operating envelope
Review original consents, amendments, renewals, inspection reports, show-cause notices, directions, closure orders and litigation. For each condition, identify the evidence of compliance: production data, raw-material use, fuel, stacks, effluent, waste, monitoring, reporting and pollution-control operation.
India's pollution-control consent framework includes central legislation and guidelines with implementation by relevant boards and administrations. Reconcile actual and forecast capacity with consented capacity. Check continuity through the transaction
Create a permit-by-permit action list for notice, endorsement, amendment, transfer, fresh application or consent. The required action may differ between a share acquisition, business transfer and asset purchase. Some approvals attach to the entity, some to the occupier, site or activity, and some contain specific change clauses.
Prioritise permissions without which production, dispatch, utilities or insurance cannot continue. Sequence applications around signing and closing, while respecting confidentiality and regulatory process. A generic covenant to cooperate is weaker than an agreed filing, evidence standard, responsible party and long-stop date.
Translate gaps into value and deal terms
